Incorporation

A newly-formed corporation is a lot like a newborn baby. It exists separate and apart from its owners and it needs to have its own Federal tax identification number (the equivalent of a baby’s Social Security Number). If the corporation is to have credit with vendors it must establish itself as worthy of credit, and vendors will often demand payment guarantees from the individual corporate owners. Articles of Incorporation must be filed with the Secretary of State’s office, Bylaws should be adopted to regulate the corporation's internal affairs, corporate meetings must be held (or signed consents drafted in lieu of meetings), stock certificates must be issued, corporate bank accounts need to be established and a variety of other corporate matters must be attended to.
